Public offer

This document is Quantum IT SYS’s official offer to enter into a services agreement on the terms set out below.

1. General provisions

This public offer (hereinafter — the “Offer”) is an official proposal by Quantum IT SYS (hereinafter — the “Contractor”) to any legally capable person (hereinafter — the “Customer”) to enter into an agreement for the provision of business automation and information security services on the terms set out below.

Acceptance of this Offer (full and unconditional acceptance of its terms) is deemed to occur when the Customer submits a request on the Website, pays for the services, or otherwise confirms consent to commence cooperation.

2. Terms and definitions

  • Website — the online resource hosted at q-systems.uz.
  • Services — work relating to CRM/ERP implementation, business-process automation, information security audit and protection, and related work.
  • Request — an enquiry by the Customer via the Website forms, telephone or email.

3. Subject of the Offer

The Contractor undertakes to provide services to the Customer, and the Customer undertakes to accept and pay for them. The specific list, scope, timeframes and fees are agreed by the parties individually and recorded in an invoice, a statement of work or a separate contract.

4. Formation of the contract

The contract is deemed concluded upon the Customer’s acceptance of the Offer. After the parameters of the work have been agreed, the parties may execute a separate contract or annex, which shall prevail over the general terms of this Offer.

5. Fees and payment

Fees are determined individually on the basis of the scope and complexity of the work. Licence and service prices shown on the Website are indicative. Payment is made in the manner and within the timeframes agreed by the parties, in the national currency of the Republic of Uzbekistan.

6. Rights and obligations of the parties

The Contractor undertakes to provide the services to a professional standard and within the agreed timeframes, to maintain confidentiality and to keep the Customer informed of progress. The Customer undertakes to provide the necessary information and access, and to accept and pay for the services in a timely manner.

7. Timeframes for the services

Timeframes are determined individually for each project and recorded in a work plan or contract. Timeframes may be adjusted if the scope of work changes or if the Customer fails to provide the necessary data and access on time.

8. Liability of the parties

The parties are liable for non-performance of their obligations in accordance with the legislation of the Republic of Uzbekistan. The Contractor is not liable for consequences arising from inaccurate information provided by the Customer or from use of the work results other than for their intended purpose.

9. Confidentiality

The parties undertake not to disclose information obtained in the course of cooperation. Personal data is processed in accordance with the Privacy Policy.

10. Force majeure

The parties are released from liability for non-performance of obligations if such non-performance is caused by circumstances of force majeure arising after acceptance of the Offer.

11. Dispute resolution

Disputes shall be resolved by negotiation. If no agreement is reached, the dispute shall be considered in accordance with the procedure established by the legislation of the Republic of Uzbekistan.
